TERMS AND CONDITIONS ALREADY ACCEPTED
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS SITE OR SERVICES.

By registering on or using the services provided by Shiptricks, you agree to these terms and conditions in full. If you do not agree, you may not register or use our services.

1. Definitions
  • 1.1 Shiptricks: The crossdock service provider offering logistics, warehousing, and distribution solutions.
  • 1.2 User: Any individual or legal entity that registers and uses Shiptricks’ services, including but not limited to retailers, wholesalers, and distributors.
  • 1.3 Services: All logistics, warehousing, inventory management, order fulfillment, and related services provided by Shiptricks, including access to its software platform.
  • 1.4 Agreement: This legally binding contract between Shiptricks and the User.
2. Scope of Agreement
  • 2.1 This agreement governs the use of crossdock, warehousing, and associated logistics services provided by Shiptricks.
  • 2.2 Users acknowledge that all services provided by Shiptricks are intended solely for commercial purposes, and no consumer protection laws shall apply.
  • 2.3 Shiptricks retains the right to modify, suspend, or terminate any aspect of its services without prior notice, provided such changes are posted on the Shiptricks website.
3. User Obligations
  • 3.1 The User agrees to provide accurate, complete, and up-to-date information when registering for and using the services. Any changes to the User’s information must be promptly communicated to Shiptricks.
  • 3.2 The User shall ensure that all goods delivered to Shiptricks comply with applicable laws, regulations, and customs requirements, including but not limited to packaging and labeling standards.
  • 3.3 The User is responsible for accurately documenting all shipments, including price, weight, dimensions, and content. If discrepancies are detected, Shiptricks reserves the right to make necessary corrections and charge the User accordingly.
  • 3.4 The User agrees to indemnify and hold Shiptricks harmless from any claims, damages, or liabilities arising from the User’s non-compliance with this agreement, applicable laws, or third-party rights.
  • 3.5 The User shall not engage in any activity that disrupts or interferes with the operations of Shiptricks’ services or software platform.
4. Shiptricks Rights and Obligations
  • 4.1 Shiptricks shall handle and store the User’s goods in accordance with commercially reasonable standards but does not guarantee the condition or quality of goods upon delivery. Responsibility for such matters lies with the carrier from whom the service is procured.
  • 4.2 Shiptricks reserves the right to refuse, suspend, or terminate services to any User at its sole discretion in cases of misuse, fraud, or violation of these terms.
  • 4.3 Shiptricks may subcontract any part of its services to third-party providers without obtaining the User’s prior consent.
  • 4.4 Shiptricks shall not be liable for delays caused by third-party carriers, customs clearance, or force majeure events.
5. Fees, Payment, and Billing
  • 5.1 Users agree to pay all applicable fees as agreed upon during the service acquisition process.
  • 5.2 Unless otherwise specified, payments are due immediately. Additional costs incurred by customs authorities or carriers will be passed on to the User, who agrees to cover these costs. Failure to make payment grants Shiptricks the right to terminate the agreement.
  • 5.3 Shiptricks reserves the right to adjust pricing based on changes in operational costs.
  • 5.4 All fees are non-refundable unless otherwise specified. In the event of a billing dispute, the User must notify Shiptricks within 30 days of the invoice date.
6. Limitation of Liability
  • 6.1 Shiptricks shall not be liable for any loss or damage to goods. Users are responsible for obtaining additional insurance coverage.
  • 6.2 Shiptricks shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, business interruption, or data loss.
  • 6.3 Users acknowledge that Shiptricks provides its services on an “AS IS” basis without warranties of any kind, either express or implied.
7. Insurance
  • 7.1 The User is responsible for obtaining appropriate insurance coverage for goods stored or handled by Shiptricks.
  • 7.2 Shiptricks may offer optional insurance coverage for an additional fee. Details of such coverage will be provided upon request.
8. Termination
  • 8.1 Shiptricks may terminate this agreement and suspend the User’s access to services immediately upon breach of any term by the User.
  • 8.2 The User may terminate this agreement by providing 30 days’ written notice, subject to the settlement of any outstanding fees.
  • 8.3 Upon termination, the User must arrange for the removal of all goods stored at Shiptricks’ facilities within 15 days. Failure to do so may result in additional storage fees or disposal of the goods.
9. Dispute Resolution and Governing Law
  • 9.1 This agreement shall be governed by and construed in accordance with the laws of the State of Rhode Island, United States.
  • 9.2 Any dispute arising from or relating to this agreement shall be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association.
  • 9.3 The parties agree that any arbitration shall be conducted on an individual basis and not as a class action.
10. Force Majeure
  • 10.1 Shiptricks shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, labor disputes, and governmental actions.
11. Confidentiality
  • 11.1 Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of their business relationship.
  • 11.2 Shiptricks may disclose User information if required by law or in connection with legal proceedings.
12. Amendments
  • 12.1 Shiptricks reserves the right to amend these terms and conditions at any time. Users will be notified of material changes through the website or registered email.
  • 12.2 Continued use of the services after amendments constitutes acceptance of the revised terms.
13. Miscellaneous
  • 13.1 This agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
  • 13.2 If any provision of this agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • 13.3 The failure of Shiptricks to enforce any right or provision of this agreement shall not be deemed a waiver of such right or provision.
  • 13.4 The User may not assign this agreement without Shiptricks’ prior written consent.
14. Product Returns and Misrepresentation
  • 14.1 Returned Products: Products returned to the User will be notified upon arrival at the Shiptricks facility. If the User does not take necessary action within 15 (fifteen) days of notification, Shiptricks reserves the right to dispose of or recycle the products without any liability.
  • 14.2 Misrepresentation: If the User is found to have made false claims regarding the delivery of products to their original purchase locations, Shiptricks reserves the right to:
    • Immediately terminate the User’s account.
    • Halt all pending shipments.
    • Refuse to accept new products at its facility.
  • 14.3 Balance Refunds and Fees:
    • In the event of account closure, any remaining balance in the User’s account will be refunded.
    • Fees paid for services already rendered will not be refunded.
    • Fees for unshipped consignments will be refunded 30 (thirty) days after the termination date.
  • 14.4 Shiptricks shall notify the User directly in the event of any of the above occurrences and reserves the right to take necessary actions. The User agrees to indemnify Shiptricks for any direct or indirect damages arising from a breach of these provisions.

Shiptricks tarafından sağlanan hizmetlere kayıt olarak veya bu hizmetleri kullanarak, bu koşulları tam olarak kabul etmiş sayılırsınız. Bu koşulları kabul etmiyorsanız, kayıt olmayın veya hizmetleri kullanmayın.

1. Tanımlar
  • 1.1 Shiptricks: Lojistik, depolama ve dağıtım çözümleri sunan crossdock hizmet sağlayıcısı.
  • 1.2 Kullanıcı: Shiptricks hizmetlerine kayıt olan ve bu hizmetleri kullanan gerçek veya tüzel kişi, perakendeciler, toptancılar ve dağıtıcılar dâhil ancak bunlarla sınırlı olmamak üzere.
  • 1.3 Hizmetler: Shiptricks tarafından sağlanan tüm lojistik, depolama, envanter yönetimi, sipariş karşılama ve ilgili hizmetler ile yazılım platformuna erişim.
  • 1.4 Sözleşme: Shiptricks ve Kullanıcı arasında hukuki olarak bağlayıcı olan bu sözleşme.
2. Sözleşmenin Kapsamı
  • 2.1 Bu sözleşme, Shiptricks tarafından sağlanan crossdock, depolama ve ilgili lojistik hizmetlerin kullanımını düzenler.
  • 2.2 Kullanıcılar, Shiptricks tarafından sunulan tüm hizmetlerin sadece ticari amaçlarla kullanıldığını ve tüketici koruma yasalarının uygulanmayacağını kabul eder.
  • 2.3 Shiptricks, hizmetlerin kapsamını, fiyatlandırmasını ve işleyiş yöntemlerini önceden bildirimde bulunmaksızın değiştirme, askıya alma veya sonlandırma hakkını saklı tutar.
3. Kullanıcı Yükümlülükleri
  • 3.1 Kullanıcı, kayıt esnasında ve hizmetleri kullanırken doğru, eksiksiz ve güncel bilgiler sağlamayı kabul eder. Kullanıcı bilgilerini değiştirirse, bu değişiklikleri derhâl Shiptricks'e bildirmek zorundadır.
  • 3.2 Kullanıcı, Shiptricks'e teslim edilen tüm malların yürürlükteki yasa ve düzenlemelere, ambalaj ve etiketleme standartlarına uygun olmasını sağlamakla yükümlüdür.
  • 3.3 Kullanıcı, tüm gönderilerin fiyat, ağırlık, boyut ve içerik gibi detaylarını doğru bir şekilde belgelemekten sorumludur. Farkliligin tespiti durumunda, Shiptricks gerekli duzeltmeleri yapar ve ilgili hizmet bedelini kullaniciya yansitir.
  • 3.4 Kullanıcı, bu sözleşme, yürürlükteki yasalar veya üçüncü kişi haklarına aykırılıktan kaynaklanan tüm iddialar için Shiptricks'i tazmin etmeyi ve zararını karşılamayı kabul eder.
  • 3.5 Kullanıcı, Shiptricks'in hizmetlerini veya yazılım platformunu aksatacak veya işleyişine zarar verecek herhangi bir faaliyette bulunamaz.
4. Shiptricks Hak ve Yükümlülükleri
  • 4.1 Shiptricks, Kullanıcı'nın mallarını ticari olarak makul standartlara uygun olarak işlemeyi ve depolamayı taahhüt eder, ancak teslimat sırasında malların durumu veya kalitesine dair garanti vermez. Bu noktada sorumluluk, kullanicinin hizmeti aldigi tasitici firmaya aittir.
  • 4.2 Shiptricks, yanlış kullanım, dolandırıcılık veya bu koşulların ihlali durumunda hizmeti reddetme, askıya alma veya sonlandırma hakkını saklı tutar.
  • 4.3 Shiptricks, Kullanıcı'nın önceden izni olmaksızın hizmetlerinin bir kısmını üçüncü taraf sağlayıcılara devretme hakkına sahiptir.
  • 4.4 Shiptricks, üçüncü taraf taşıyıcılardan, gümrükleme veya mücbir sebep durumu nedeniyle kaynaklanan gecikmelerden sorumlu debir sebep durumu nedeniyle kaynaklanan gecikmelerden sorumlu degildir.
5. Ücret, Ödeme ve Faturalama
  • 5.1 Kullanıcılar, Shiptricks hizmet alma asamasinda anlaşılan tüm ücretleri ödemeyi kabul eder.
  • 5.2 Ödeme koşulları aksi belirtilmedikçe anliktir. Gumruk idaresinden veya tasiyici firmalardan gelecek ek maliyetler kullanicilara yansitilacaktir. Kullanici, bu maliyetleri odemeyi pesinen kabul eder. Odeme yapilmaz ise Shiptricks, sozlesmeyi fesih etme hakkini sakli tutar.
  • 5.3 Shiptricks, işletme maliyetlerindeki değişikliklere dayalı olarak fiyatlandırmayı değiştirme hakkını saklı tutar.
  • 5.4 Tüm ücretler aksi belirtilmedikçe iade edilemez. Fatura ile ilgili bir uyuşmazlık durumunda Kullanıcı, fatura tarihinden itibaren 30 gün içinde Shiptricks'e bildirimde bulunmalıdır.
6. Sorumluluğun Sınırlandırılması
  • 6.1 Shiptricks'in, malların kaybı veya hasarı nedeniyle sorumluluğu bulunmamaktadir. Bu tur zararlar icin kullanici urunu icin ek sigorta almalidir.
  • 6.2 Shiptricks, dolaylı, tesadüfi, özel veya sonuç olarak ortaya çıkan zararlar, kâr kaybı, iş kesintisi veya veri kaybı dahil ancak bunlarla sınırlı olmamak üzere sorumlu tutulamaz.
  • 6.3 Kullanıcı, Shiptricks'in hizmetlerini “OLDUĞU GİBİ” şeklinde, herhangi bir açık veya zımni garanti olmaksızın sağladığını kabul eder.
7. Sigorta
  • 7.1 Kullanıcı, Shiptricks tarafından depolanan veya işlenen mallar için uygun sigorta kapsamını sağlamaktan sorumludur.
  • 7.2 Shiptricks, ek bir ücret karşılığında isteğe bağlı sigorta hizmeti sunabilir. Bu kapsama ilişkin detaylar talep üzerine sağlanacaktır.
8. Sözleşmenin Feshi
  • 8.1 Shiptricks, Kullanıcı'nın herhangi bir maddeyi ihlal etmesi durumunda bu sözleşme kapsamındaki hizmetleri derhâl askıya alma veya sonlandırma hakkına sahiptir.
  • 8.2 Kullanıcı, 30 gün önceden yazılı bildirimde bulunarak bu sözleşmeden cayabilir. Ancak, fesih öncesinde mevcut olan tüm ödenmemiş üretlerin ödenmesi gerekmektedir.
  • 8.3 Fesih sonrasında Kullanıcı, Shiptricks tesislerinde depolanan tüm malların 15 gün içinde kaldırılmasından sorumludur. Bu süreçte malların kaldırılmaması durumunda ek depolama ücretleri uygulanabilir veya malların imha edilmesi söz konusu olabilir.
9. Uyuşmazlıkların Çözümü ve Geçerli Hukuk
  • 9.1 Bu sözleşme, Amerika Birleşik Devletleri'nin Rhode Island eyaletinin kanunlarına tabidir ve bu kanunlara uygun olarak yorumlanır.
  • 9.2 Bu sözleşmeden kaynaklanan veya bu sözleşme ile ilgili olan herhangi bir uyuşmazlık, Amerikan Tahkim Derneği kurallarına uygun olarak bağlayıcı tahkim yoluyla çözülecektir.
  • 9.3 Taraflar, tahkim işleminin bireysel olarak yapılacağını ve toplu dava şeklinde gerçekleştirilmeyeceğini kabul eder.
10. Mücbir Sebep
  • 10.1 Shiptricks, kontrolü dışında gelişen ve öngörülemeyen olaylar nedeniyle yükümlülüklerini yerine getirememekten sorumlu tutulamaz. Bu olaylara doğal afetler, savaş, terör eylemleri, grevler, hukuki kısıtlamalar ve devlet müdahaleleri dahildir ancak bunlarla sınırlı değildir.
11. Gizlilik
  • 11.1 Taraflar, iş ilişkileri süresince açıklanacak tüm kamuya açık olmayan bilgilerin gizliliğini korumayı kabul eder.
  • 11.2 Shiptricks, yasal zorunluluklar veya hukuki süreçlerle ilgili durumlar hariç olmak üzere Kullanıcı bilgilerini açıklamayacaktır.
12. Değişiklikler
  • 12.1 Shiptricks, bu kullanım koşullarında her zaman değişiklik yapma hakkına sahiptir. Kullanıcılara önemli değişiklikler web sitesi veya kayıtlı e-posta aracılığıyla bildirilecektir.
  • 12.2 Değiştirilmiş koşullardan sonra hizmetlerin kullanılmaya devam edilmesi, Kullanıcı tarafından değişikliklerin kabul edildiği anlamına gelir.
13. Muhtelif Hükümler
  • 13.1 Bu sözleşme, taraflar arasındaki tüm anlaşmanı oluşturur ve önceki tüm yazılı ve sözlü anlaşmaların yerini alır.
  • 13.2 Bu sözleşmenin herhangi bir hükmü geçersiz veya uygulanamaz hale gelirse, kalan hükümler tam olarak yürülükte kalmaya devam edecektir.
  • 13.3 Shiptricks'in bu sözleşmenin herhangi bir hakkını veya hükmünü uygulamaması, bu haktan veya hükümden feragat edildiği anlamına gelmez.
  • 13.4 Kullanıcı, Shiptricks'in önceden yazılı izni olmaksızın bu sözleşmeden doğan haklarını devredemez.
  • Shiptricks'e kayıt olarak, bu koşulları okuduğunuzu, anladığınızı ve kabul ettiğinizi onaylıyorsunuz.
14. Ürün İadesi ve Yanlış Beyan Durumları
  • 14.1 İade Gelen Ürünler: Kullanıcıya iade edilen ürünler, Shiptricks deposuna ulaştıktan sonra Kullanıcı’ya bildirilir. Bildirim tarihinden itibaren 15 (on beş) gün içerisinde Kullanıcı tarafından gerekli aksiyon alınmazsa, Shiptricks söz konusu ürünleri imha etme veya geri dönüşüm işlemi uygulama hakkını saklı tutar. Kullanıcı, bu durumda herhangi bir tazminat talebinde bulunamayacağını kabul eder.
  • 14.2 Yanlış Beyan Durumu: Kullanıcı’nın, Shiptricks deposuna teslim edilen ürünlerin orijinal alım yapılan yerlere teslim edilmediğine dair yanlış beyanlarda bulunduğunun tespit edilmesi durumunda, Shiptricks aşağıdaki önlemleri alma hakkını saklı tutar:
    • Kullanıcı’nın hesabı derhal kapatılır.
    • Bekleyen sevkiyatların çıkışı durdurulur.
    • Shiptricks deposuna yeni gelen ürünler kabul edilmez.
  • 14.3 Bakiyenin İadesi ve Üretler:
    • Hesabin kapanmasi durumunda, kullanıcı hesabında bekleyen bir bakiye bulunması durumunda, bu bakiye Kullanıcı’ya iade edilir.
    • Kullanıcının alınmış ve gerçekleşmiş hizmetler için ödemiş olduğu ücretler iade edilmez.
    • Sevk edilmemiş kargoların ücretleri, fesih tarihinden itibaren 30 (otuz) gün sonra Kullanıcı'ya ödenir.
  • 14.4 Shiptricks, yukarıda belirtilen durumların herhangi birinin ortaya çıkması halinde, Kullanıcı’ya doğrudan bildirimde bulunur ve gerekli aksiyonları uygulama hakkını saklı tutar. Bu hükümlerin ihlali durumunda Kullanıcı, Shiptricks’in doğrudan veya dolaylı olarak maruz kalabileceği tüm zararları tazmin etmeyi kabul eder.
